1 About Computomics

Founded in 2012 and headquartered in Tübingen, Germany, Computomics helps leading breeding, agbiotech, and life sciences companies turn genomic, phenotypic, microbiome, and environmental data into predictive decisions. The company is backed by the European Innovation Council and combines expertise in machine learning, bioinformatics, plant genetics, and plant breeding. 

Our products include xSeedScore (AI-based genotype-by-environment prediction), Pantograph (enterprise pangenome data hub), CropCompass (breeding data navigation), and MORPHEUS (metagenomic analysis for agriculture and food safety).

2 Data Security & Confidentiality

All analysis is performed on Computomics-controlled infrastructure in Germany. Client Data is not processed on hyperscaler services without prior written agreement. All transfers occur over encrypted channels, and access is restricted to personnel assigned to the engagement. 

Client Data is used solely for the agreed Services and treated as confidential for ten years post-project, or longer if it qualifies as a trade secret under the German Trade Secrets Act. Data is retained for a minimum of six months after project completion and deleted on request at any time, free of charge. If personal data within the meaning of the GDPR is involved, a separate Data Processing Agreement is concluded before processing begins.

3 Intellectual Property

Computomics retains all rights to its pre-existing tools, pipelines, software, foundation models, and reference datasets. The Client retains ownership of all Client Data and all Results delivered under the engagement. 

Client-specific models trained on Client Data are not reused or redeployed for other customers. Client Data is not used to train or improve general-purpose Computomics models without the Client's written permission. 

Where the Statement of Work does not specify license terms, the Client receives a perpetual, worldwide, non-exclusive license to use the Results for its internal business purposes.

4 Infrastructure

Computomics operates dedicated high-memory, high-CPU compute and storage infrastructure in Germany, sized for projects ranging from single-genome studies to large-scale population analyses. Data is backed up at least daily to a geographically separate site within Germany. No Client Data is processed outside Computomics-controlled infrastructure without prior written agreement.

5 Data Quality Review

At project kickoff, Computomics performs a data quality review and delivers a written summary of findings. Correction of any data issues remains the Client's responsibility. Delays or additional costs resulting from inadequate, incomplete, or late data provision by the Client do not constitute a breach of contract by Computomics.

 If the quality review reveals that the project cannot proceed as originally scoped, Computomics and the Client will jointly agree in writing on the path forward.

6 Payment Terms

All prices are in EUR, excluding German VAT. The Client bears all applicable taxes. Invoicing follows the schedule below unless otherwise specified:

  •     Engagements up to €50,000: 100% invoiced on order confirmation.
  •     Engagements above €50,000: 50% on confirmation, 50% on delivery, or milestone-based as agreed.
  •     Retainers and subscriptions: invoiced at the beginning of the period.

Payment is due net 14 days from invoice date by SEPA or international wire, unless another payment timeframe is indicated on either the invoice or the order. Overdue invoices accrue interest per § 288 BGB (9 percentage points above the ECB base rate) plus a €40 flat fee per overdue invoice.

7 Liability & Governing Law

Computomics is liable without limitation for damages arising from intent, gross negligence, or injury to life, body, or health. For breach of material contractual obligations caused by simple negligence, liability is limited to foreseeable, contract-typical damages. In all other cases, aggregate liability is capped at total fees paid in the twelve months preceding the claim. Indirect damages, loss of profits, and loss of data (beyond the cost of restoration from the most recent backup) are excluded to the extent permitted by law. 

All our contractual relations will be governed exclusively by the laws of the Federal Republic of Germany (CISG excluded). Exclusive jurisdiction: Stuttgart. Place of performance: Tübingen.

Severability: If any provision is held invalid, the remaining terms remain in full force.

Force majeure applies to delays caused by events beyond either party's reasonable control, provided the affected party notifies the other without undue delay.
